Welcome to the 21 Saints® website (the “Site”) located at 21saints.shop. This Site is operated by 21 Saints LLC (“21 Saints”, “we” or “us”). These Terms of Use (“Terms”) govern your use of this Site.

Please read these Terms carefully before using this Site. By accessing or using this Site, you agree to be bound contractually by these Terms. If you do not agree to these Terms, you may not use this Site.

1. Acceptance of Terms

By using this Site you agree to be bound by these Terms, whether you are a “Visitor” (which means that you simply browse the Site) or you are a “Member” (which means that you have registered with us to use the Site). The term “User” refers to a Visitor or a Member. If you wish to become a Member and make use of the Site, you must read these Terms and indicate your acceptance during the registration process.

As a User of this Site, you agree that:

You will only use the Site in a manner consistent with these Terms and all applicable laws, rules and regulations;
Any information you submit through the Site will be truthful and accurate;
You will not use the Site to distribute viruses or malware or take any actions that would cause harm to the Site or 21 Saints.

We reserve the right to modify or change these Terms at any time without prior notice. Your continued use of the Site after any changes to the Terms constitutes your acceptance of the new Terms. 3. Site Access and Use

3.1. This Site and the products, services, information and resources on this Site are intended for persons who are at least 18 years old. Any access to or use of this Site by anyone under 18 is unauthorized, unlicensed and in violation of these Terms.

3.2. We grant you a limited license to access and make personal, non-commercial use of the Site. This license does not include the right to download any portion of the Site, except for purposes of page caching, indexing by search engines, or as permitted by individual copyright holders. This license does not include any resale of the Site or any of its contents; any collection and use of any product or service listings, descriptions, or prices; any derivative use of the Site or its contents; or any use of data mining, robots, or similar data gathering and extraction tools. The Site or any portion of the Site may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without our express prior written consent. You may not use any meta tags or any other “hidden text” utilizing our name or trademarks without our express prior written consent. Any unauthorized use immediately terminates the permission or license granted by us.

You are granted a limited, non-exclusive, revocable, non-assignable, personal, and non-transferable license to access the Site conditioned on your continued acceptance of and compliance with these Terms. We reserve the right to terminate any account or block access to or use of the Site for any reason at our discretion.

4. Intellectual Property Rights

4.1. The Site contains material, such as software, text, graphics, images, designs, sound recordings, audiovisual works, and other material provided by or on behalf of 21 Saints (collectively referred to as the “Content”). The Content may be owned by us or by third parties. The Content is protected under both United States and foreign laws. Unauthorized use of the Content may violate copyright, trademark, and other laws. You have no rights in or to the Content, and you will not use the Content except as permitted under these Terms. No other use is permitted without our express prior written consent.

4.2. You retain your rights to any Content you submit, post or display on or through the Site. By submitting, posting or displaying Content on or through the Site, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate, distribute and display such Content on the Site solely for the purpose of displaying, distributing and promoting the specific area of the Site where you submitted the Content, in compliance with applicable law.

4.3. You acknowledge and agree that we retain ownership of all intellectual property rights of any kind related to the Site, including applicable copyrights, trademarks and other proprietary rights. Other product and company names that are mentioned on the Site may be trademarks of their respective owners.

5. User Conduct

5.1. As a condition of your use of the Site, you agree that you will not:

Use the Site for any fraudulent or unlawful purpose;
Interfere with or disrupt the operation of the Site or the servers or networks used to make the Site available; or violate any requirements, procedures, policies or regulations of such networks;
Transmit to, or through, the Site any viruses, worms, defects, Trojan horses, malware or any items of a destructive nature;
Restrict or inhibit any other User from using and enjoying the Site;
Modify, adapt, sublicense, translate, sell, reverse engineer, decipher, decompile or otherwise disassemble any portion of the Site;

Send unsolicited or unauthorized advertisements, spam, chain letters, etc;
Transmit or post offensive, obscene, infringing, pornographic or unlawful content or information;
Impersonate another person or otherwise misrepresent your affiliation with a person or entity;
Violate the contractual, personal, intellectual property or other rights of any party including using, uploading, transmitting, distributing, or otherwise making available any information made available through the Site in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party;
Undertake any other activities deemed unauthorized by 21 Saints.

5.2. You are solely responsible for your interactions with other Users and any other parties with whom you interact through the Site. We reserve the right, but have no obligation, to monitor disputes between you and other Users. 21 Saints shall have no liability for your interactions with other Users, or for any User’s action or inaction.

6. User Content

6.1. You are solely responsible for any content, information or other materials that you submit, post or display on the Site (“User Content”). You agree not to post any User Content that: (a) may create a risk of harm, loss, physical or mental injury, emotional distress, death, disability, disfigurement, or physical or mental illness to you, to any other person, or to any animal; (b) may create a risk of any other loss or damage to any person or property; (c) seeks to harm or exploit children by exposing them to inappropriate content, asking for personally identifiable details or otherwise; (d) may constitute or contribute to a crime or tort; (e) contains any information or content that we deem to be unlawful, harmful, abusive, racially or ethnically offensive, defamatory, infringing, invasive of personal privacy or publicity rights, harassing, humiliating to other people (publicly or otherwise), libelous, threatening, profane, or otherwise objectionable; (f) contains any information or content that is illegal (including, without limitation, the disclosure of insider information under securities law or of another party’s trade secrets); (g) contains any unsolicited or unauthorized advertising, solicitations, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation; (h) contains any non-public information about 21 Saints that you may have obtained in connection with your employment with or engagement as a consultant of 21 Saints; or (i) contains any information or content that you do not have a right to make available under any law or under contractual or fiduciary relationships.

6.2. We have the right but not the obligation to monitor, screen, post, remove, modify, store and review User Content or communications sent through the Site, at any time and for any reason, including to ensure that the User Content or communication conforms to these Terms, without prior notice to you. We are not responsible for, and do not endorse or guarantee, the opinions, views, advice or recommendations posted or sent by Users.

6.3. We do not control the User Content posted by Users and do not guarantee the accuracy, integrity or quality of such User Content. You understand that by using the Site you may be exposed to offensive or explicit User Content. Under no circumstances will we be liable in any way for or in connection with any User Content.

7. Third Party Links and Content

The Site may contain links to websites operated by parties other than 21 Saints. Those links are provided for your reference only. We do not control outside websites and are not responsible for their content. Inclusion of links for any website on the Site does not imply our endorsement of the linked site. We have no obligation to monitor such websites and will bear no responsibility or liability for the content, advertising, services, products, privacy policies, or other materials of any such site, application or service. By using the Site to search for or link to another site, you agree and understand that you may not make any claim against us for any damages or losses, whatsoever, resulting from your use of the Site to obtain search results or to link to another site.

8. Payments

8.1. When you make a purchase on the Site, you may pay via credit card or other online payment provider. Those payment providers may have privacy and data collection practices that differ from ours. We are not responsible for errors made by or the privacy or security practices of those payment providers. We encourage you to read their privacy policies before providing any personal information.

8.2. 21 Saints uses 256-bit Secure Sockets Layer (SSL) encryption technology for secure online transactions. However, no data transmission over the Internet or information storage technology can be guaranteed to be 100% secure. As a result, while we strive to protect your personal information, we cannot ensure or warrant the security of any information you transmit to us.

9. Disclaimers and Limitations on Liability

9.1. Your use of this Site and any services offered on the Site is at your own risk. The Site and all information, Content, materials and services included on or available through the Site are provided on an “as is” and “as available” basis without warranties of any kind either express or implied. We disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

9.2. We do not warrant that: (a) the Site or services will meet your requirements or expectations; (b) the Site will be available on an uninterrupted, timely, secure, or error-free basis; (c) the quality of any products, services, information, or other material obtained by you through the Site will meet your requirements or expectations; or (d) any errors or defects in the Site or any services or products offered through the Site will be corrected.

9.3. You assume all risk of loss or damage for unauthorized use or failure of any equipment used in connection with the Site including loss of data.

9.4. To the maximum extent permitted by applicable law, we will not be liable for any direct, indirect, incidental, consequential, punitive or special damages, losses or expenses arising in connection with your use of or inability to use the Site, even if we have been advised of the possibility of such damages. Certain jurisdictions do not allow limitations on implied warranties or the exclusion or limitation of certain damages. If these laws apply to you, some or all of the disclaimers, exclusions or limitations in these Terms may not apply to you.

10. Indemnification

You agree to indemnify, defend and hold harmless 21 Saints, its affiliates, officers, directors, employees, consultants, agents, suppliers and licensors from and against any third party claims, liabilities, damages, losses, costs and expenses, including reasonable attorney’s fees and costs, arising out of or related to: (a) your access to or use of the Site; (b) your User Content; (c) any use of your account by you or any third party; (d) your violation of these Terms or applicable law; (e) any products or services purchased or obtained by you through the Site; or (f) your breach of any representations or warranties in these Terms. We reserve the right to handle our legal defense however we see fit even if you are indemnifying us, in which case you agree to cooperate with us so we can execute our strategy.

11. Termination

We reserve the right, without notice and at our sole discretion, to terminate your right to access or use the Site. We are not responsible for any loss or harm related to your inability to access the Site.

12. International Issues

We make no representation that the Site or any products or services offered through the Site are appropriate or available for use in any location. Those who access or use the Site from other locations do so at their own initiative and are responsible for compliance with local laws.

13. Dispute Resolution

Please read this dispute resolution provision carefully. It requires you to arbitrate certain disputes and claims with 21 Saints and limits the manner in which you can seek relief.

13.1. You and 21 Saints agree that any dispute or claim relating in any way to your use of the Site or products you purchase through the Site will be resolved by binding arbitration, rather than in court. The only exceptions are that you may assert claims in small claims court if your claims qualify and you may bring enforcement actions in respect of intellectual property rights.

13.2 There is no judge or jury in arbitration. Arbitration procedures are simpler and more limited than rules applicable in court and review by a court is limited. An arbitrator must follow these Terms and can award the same damages and relief as a court, including attorney’s fees.

13.3 You are waiving your right to participate as a class representative or class member in any class claim or class action litigation against 21 Saints.

13.4 Any arbitration will occur in the federal judicial district where you reside and will be administered by the American Arbitration Association (“AAA”) in accordance with its arbitration rules in effect at the time the claim is filed (“AAA Rules”). The AAA Rules and a form that can be used to initiate arbitration proceedings are available at www.adr.org. You and 21 Saints agree that the arbitrator will have the exclusive power to decide any disputes relating to the interpretation, applicability, enforceability or formation of this arbitration agreement, except for challenges to the class action waiver in section 13.3 above.

13.5 Changes to These Terms that relate to arbitration will not apply to disputes that arose before the changes. If any part of this arbitration provision is deemed to be invalid or otherwise unenforceable, you and we agree that the remaining provisions shall remain in full force and effect.

13.6 You agree to reimburse 21 Saints for any costs, including reasonable attorneys’ fees, that it incurs in connection with compelling arbitration against you. Except as may be required by applicable law, neither you nor 21 Saints may participate in a class action or class-wide arbitration, whether in court or arbitration.

14. Modification of Terms

We reserve the right to change these Terms at any time in our sole discretion. When material changes are made, we will post an updated version and update the “Last Updated” date above. Prolonged use of the Site after changes means you accept the changes. Immaterial modifications are effective upon implementation. If you do not wish to accept a modification, you should discontinue use of the Site.

15. General Provisions

15.1. We may discontinue, change, suspend or impose limits on any aspect of this Site at our sole discretion without notice or liability. We may modify or terminate your access to this Site for any reason at our sole discretion without notice or liability.

15.2. Our failure to exercise or enforce any right or provision in these Terms will not constitute a waiver of such right or provision.

15.3. These Terms constitute the entire agreement between you and 21 Saints related to their subject matter and supersede any prior understandings or agreements.

15.4. The Site is intended for Users 18 years of age and older. By using the Site, you affirm you are at least 18 years old.

15.5. You are responsible for complying with all applicable laws in relation to your use of the Site.

15.6. We may assign our rights and obligations under these Terms.

15.7. These Terms are governed by California law, without regard to conflict of law rules. For any dispute not subject to arbitration, you consent to the personal jurisdiction of and exclusive venue in the state and federal courts located in San Francisco County, California.

15.8. If any provision of these Terms is found unenforceable, that provision will be removed without affecting the remainder. The remaining provisions will be enforced.
